ZBV Abogados advised Banco Hipotecario in debt issuance
(Buenos Aires, November 13 2013) -- Zang, Bergel & Vi帽es Abogados advised Banco Hipotecario in the issuance of Series 13 and Series 14 notes, issued under the Bank麓s Global Note Program for up to the sum of US$ 500 million (or its equivalent in Argentine pesos).
On November 6th, 2013, the Bank successfully completed the placement and issuance of the two series of notes for a global amount of approximately 171 million Argentine pesos.
Series 13 has a maturity of 360 days from its issue date, with a face value of 55,510,000 Argentine pesos, at an issue price of 100% of the face value; issued at a fixed rate of 23.50%, payable on a quarterly basis.
Series 14 has a maturity of 24 months from its issue date, and was issued at a nominal value of AR$ 115,400,000 at an issue price of 100% of the face value, issued at a Private Badlar Rate (Tasa Badlar Privada) plus 375 bps per annum, payable on a quarterly basis.
The offering was directed to the domestic market, with the notes listed in the Buenos Aires Stock Exchange, Rosario Stock Exchange, and admitted for trading on the Mercado Abierto Electr贸nico S.A., the Argentine over-the-counter market.
BACS Banco de Cr茅dito y Securitizaci贸n, Banco Hipotecario, Banco Santander R铆o, Banco de Galicia y Buenos Aires, and Banco de Servicios y Transacciones acted as underwriters of the placement.
Zang, Bergel & Vi帽es Abogados acted as legal counsel for Banco Hipotecario and the underwriters through partner Carolina Zang and associate Pablo Nisim Schreibe.
P茅rez Alati Abogados acted as counsel for Banco Santander R铆o through partner Diego Serrano Redonet and associate Jos茅 Luis Foglia.
