ZBV ABOGADOS ADVISES IRSA ON NOTES ISSUANCE
Zang, Bergel & Vines Abogados advised real estate developer IRSA Inversiones y Representaciones Sociedad Anónima regarding the issuance of the Class III and Class IV Notes, issued under the Company’s Global Program for the issuance of Notes up to the sum of US$ 300,000,000 or the equivalent in other currencies.
On February 14 2012, the Company successfully completed the issuance of the Notes for a total amount of Ps. 300,000,000.
Class III has a maturity of 18 months from its issue date, with a face value of Ps. 153,152,082, at an issue price of 100% of the nominal amount. Class III was issued at a Private Badlar Rate (Tasa Badlar Privada) plus 2.49% per annum, payable on a quarterly basis.
Class IV has a maturity of 24 months from its issue date, and was issued at a nominal value of US$ 33,832,340, equivalent to Ps. 146,847,918, at an issue price of 100% of the nominal amount, at a fixed rate of 7.45% per year, payable on a quarterly basis.
The book represented a 266% oversubscription in relation to the announced offer of Ps. 140.000.000.
Banco Hipotecario S.A., BACS Banco de Crédito y Securitización S.A., Banco de Galicia y de Buenos Aires S.A., Raymond James Argentina Sociedad de Bolsa S.A., INTL CIBSA Sociedad de Bolsa S.A. and SBS Sociedad de Bolsa S.A., acted as underwriters agents of the described Notes and were advised by Pérez Alati, Grondona, Benites, Arntsen & Martínez de Hoz (Jr.) law firm.
Zang, Bergel & Viñes Lawyers served as legal advisor to IRSA through Partner Carolina Zang and Associates Maria de los Ángeles del Prado and Martín Olcese.
Pérez Alati, Grondona, Benites, Arntsen & Martínez de Hoz (Jr.) acted as legal advisor to the underwriters through Partner Diego Serrano Redonnet and Associates José Luis Foglia, Axel Hatrick and Sofía del Carril.
